These terms apply to every order placed with MD Mart Ltd through our website, by phone or by message. Please read them before you order. By opening a trade account or placing an order, you agree to them.
1. About these terms
In these terms, “we”, “us” and “our” mean MD Mart Ltd, Unit 12, 142 Johnson Street, Southall, London UB2 5FD. “You” means the business that opens an account or places an order, and anyone who orders on its behalf.
2. Trade customers only
MD Mart sells to businesses only, such as shops, retailers, van wholesalers and other trade buyers, for resale or use in their business. By ordering, you confirm that you are buying in the course of your business and not as a consumer.
We may ask for information to confirm that you are a trade customer, and we may decline or cancel an account or order if we cannot confirm this. Because you are buying as a business, consumer rights, such as the right to cancel an online order within 14 days, do not apply to your purchases.
3. Your trade account
- The information you give us must be accurate and kept up to date, including your business name, addresses and contact details.
- You are responsible for keeping your login details secure and for all orders placed through your account.
- Tell us straight away if you think someone has used your account without permission.
4. Products and product information
- Product images are for illustration. Manufacturers sometimes change packaging, sizes or recipes, so the product you receive may look slightly different.
- Always check the product label for ingredients, allergens, storage instructions and dates before selling or using a product. The label on the product takes priority over the information on our website.
- The RRP (recommended retail price) we show is the manufacturer’s suggestion, for guidance only. You are free to set your own selling prices.
- If a product is subject to age restrictions or licensing rules when sold to the public, you are responsible for following the law when you sell it.
5. Prices and VAT
- Prices are in pounds sterling and include VAT where applicable, unless we state otherwise.
- Prices can change. The price that applies is the one shown when you place your order.
- If we find a clear pricing error, we will contact you before delivery. You can then confirm the order at the correct price, or cancel it and receive a full refund of anything you have paid.
6. Placing an order
- All products are offered subject to availability.
- When you place an order, you make an offer to buy the products. We accept your order when we confirm it or dispatch the products.
- We may decline or cancel an order, in full or in part, for example if a product is out of stock, if there is a pricing error, or if we cannot confirm your details. If we cancel after you have paid, we will refund you in full for the cancelled items.
- We will only substitute a product with a different one if you agree.
7. Payment
You can pay:
- online at checkout, using the payment methods shown there, such as card, Apple Pay, Google Pay or PayPal; or
- by cash or card on delivery, where we offer this for your order. Payment on delivery is taken once you and our driver have checked the order.
Payment is due in full at checkout, or on delivery if you choose to pay on delivery. If payment on delivery is not made, we may keep the goods and cancel the order. The products remain our property until we have received payment in full.
8. Delivery
- We deliver to the address you give us. Delivery is free on orders over £150. Any delivery charge for other orders is shown at checkout before you pay.
- Delivery dates and times are estimates. We will do our best to meet them and will tell you if there is a delay.
- Someone must be available at the delivery address to receive and, where asked, sign for the goods. If we cannot deliver, we will contact you to arrange another time.
- The products are your responsibility from the moment they are delivered.
9. Checking your delivery
Please check your order with our driver at the time of delivery. This includes any products you are returning to us.
- Check the products against your delivery note, and look for damage, shortages or incorrect items.
- Note any problem on the delivery note and show it to the driver before they leave.
- If you only find a problem later that could not reasonably have been seen at delivery, such as damage inside a sealed case, tell us as soon as possible by phone, email or WhatsApp, with your order number and photos.
Problems that could have been seen but were not noted at the time of delivery may not be accepted. If we confirm a problem, we will replace the items, credit your account or refund you for them. We may ask you to keep damaged items so we can collect or inspect them.
10. Returns
As a trade customer, you do not have an automatic right to return products because you have changed your mind. We may agree to a return at our discretion. Chilled, frozen and short-dated products cannot be returned unless they were faulty or damaged when delivered. Products supplied on sale or return are covered by section 11. Any agreed returns must be handed to our driver and checked at the time of delivery.
11. Sale or return (SOR)
Some products show an SOR price. If you buy a product at its SOR price, we will take back any of those products you have not sold, without you having to pay for them, on the SOR terms we confirm with you when you order. The SOR price is higher than the standard trade price because we take on the risk of unsold stock. Unsold SOR products are handed back to our driver and checked at the time of delivery, and must be in their original, saleable condition.
12. Storage and handling after delivery
Once products are delivered, you are responsible for storing and handling them correctly, including keeping chilled and frozen products at the temperatures shown on the label and selling products within their dates. We are not responsible for loss or damage caused by incorrect storage or handling after delivery.
13. Our liability
- Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.
- We are not liable for loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss.
- Otherwise, our total liability for any order is limited to the price paid for that order.
14. Events outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as severe weather, road closures, supplier shortages, strikes or IT failures. We will let you know and do our best to limit the effect on your order.
15. Using our website
- The content of our website, including text, images and design, belongs to MD Mart Ltd or is used with permission. Product names, brands and logos belong to their owners.
- You must not misuse the website, for example by trying to access it without permission, copying large amounts of content, or interfering with how it works.
- We work hard to keep the website accurate and available, but we cannot guarantee it will always be error-free or uninterrupted.
16. Suspending or closing accounts
We may suspend or close a trade account if these terms are broken, if payments are not made, or if we suspect fraud or misuse. You can close your account at any time by contacting us.
17. Changes to these terms
We may update these terms from time to time. The version on our website when you place an order applies to that order.
18. Law and disputes
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you have a problem, please contact us first so that we can try to resolve it.
How we handle your personal information is explained in our Privacy Policy.
